Distance Selling Agreement

This Distance Selling Agreement ("Agreement") is governed by the provisions of Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts.

1. Parties

The natural or legal person ("Buyer") who registers on the Nailing.AI platform and purchases digital services. The Buyer's name, surname, email address, and payment information are collected during registration and payment.

(Hereinafter the Seller and the Buyer shall collectively be referred to as the "Parties".)

2. Subject

This Agreement governs the terms of sale of the Nailing.AI digital service provided electronically by the Seller to the Buyer, and the rights and obligations of the Parties within the framework of Law No. 6502 and related regulations.

3. Service Information

3.1 Service Description

Nailing.AI is an AI-powered research and content planning tool for content creators. The service is provided entirely in a digital environment; no physical product delivery is involved.

3.2 Service Scope

• Canvas-based content planning
• AI-assisted writing, analysis, and summarization
• Video transcription and analysis
• Competitor content analysis
• Note-taking and organization tools

3.3 Subscription Plans

4. Price and Payment

4.1 Pricing

• All prices are quoted in US Dollars (USD).
• The Seller reserves the right to change prices. Price changes during an active subscription period take effect at the next renewal.

4.2 Payment Method

• Payments are processed securely via the Stripe payment infrastructure.
• Credit and debit card payments are accepted.
• Card details are not stored on Nailing.AI servers; all card data is processed by Stripe in accordance with PCI DSS standards.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. If cancellation is not completed at least 24 hours before the renewal date, the next period's fee will be charged.

5. Delivery

Nailing.AI is a fully digital service. Access is granted immediately upon payment confirmation. No physical delivery is involved.

Subscription credits are added to the Buyer's account immediately after payment confirmation. Credit packs are also credited instantly upon purchase completion.

6. Right of Withdrawal

Pursuant to Article 15 of Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts:

6.1 Monthly Subscriptions

Because digital content is provided immediately and access begins at once, the right of withdrawal does not apply once the Buyer has read and confirmed the pre-information form and completed payment (Law No. 6502, Article 15/g).

6.2 Yearly Subscriptions

For yearly subscriptions, a full refund may be requested within 14 days of the subscription start date, regardless of how many credits have been used. Upon refund, the subscription is cancelled immediately and any remaining subscription credits are reset to zero. Pack credits purchased separately are not affected by the refund.

After the 14-day period, no refund will be issued; however, access and monthly credit drips continue until the end of the annual period. If the Buyer cancels after day 14, the subscription remains active until the end of the paid year with no further charges.

6.3 Credit Packs

Once credits from a purchased pack have been partially or fully used, no refund can be issued. For completely unused credit packs, a refund may be requested within 14 days of the purchase date.

7. Cancellation and Refund

7.1 Subscription Cancellation

• Cancellation is done within the application via Settings → Billing → Cancel.
• Access continues until the end of the current billing period after cancellation.
• Once the billing period ends, unused subscription credits are reset to zero (use-it-or-lose-it model, as used by ChatGPT and similar AI services). If the Buyer resubscribes, the new period's quota is granted fresh. Unused credits are not converted to cash.
• Pack credits (purchased separately as one-time credit packs) are not affected by cancellation — they never expire and remain spendable in the account regardless of subscription status.
• Transitional clause: For Buyers who subscribed before May 1, 2026 (UTC), unused subscription credits at period end following cancellation remain locked in the account rather than being reset to zero, and become spendable again upon resubscription. This grandfather clause may only be terminated with at least 30 days' prior notice by email.

7.2 Refund Requests

• Refund requests must be submitted by email to [email protected].
• Refund requests are evaluated within 10 business days.
• Approved refunds are processed via the original payment method (card refund).
• The refund process may take 5–10 business days depending on your bank.

8. Rights and Obligations of the Parties

8.1 Seller's Obligations

• Provide the service in accordance with the terms of this Agreement
• Protect the Buyer's personal data in compliance with applicable legislation
• Ensure the security of payment transactions
• Provide reasonable notice in the event of service interruptions

8.2 Buyer's Obligations

• Provide accurate and up-to-date information
• Maintain account security
• Use the service in compliance with applicable laws and the terms of this Agreement
• Fulfill payment obligations in a timely manner

9. Dispute Resolution

The laws of the Republic of Turkey apply to disputes arising from this Agreement.

• Istanbul Courts and Enforcement Offices have jurisdiction.
• The Buyer has the right to apply to Consumer Arbitration Committees within the scope of Law No. 6502.
• Applications to consumer arbitration committees are subject to the monetary limits set annually by the Ministry of Trade.

10. Protection of Personal Data

The Buyer's personal data is processed in accordance with Law No. 6698 on the Protection of Personal Data (KVKK) and related legislation. For more information, please see our Privacy Policy.

11. Entry into Force

This Agreement enters into force when the Buyer confirms it electronically and completes the payment process. By completing payment, the Buyer declares and undertakes that they have read this Agreement, understood its content, and accepted all its provisions.

The Agreement is drawn up electronically in two (2) copies, one of which may be sent to the Buyer's registered email address.
